These Terms of Use and Sale ("Terms") govern your access to WeAreMicDrop.com and related storefronts, design tools, quote forms, accounts, products, and services operated by Coffee Then Vino Holdings, doing business as Mic Drop Creative ("Mic Drop Creative," "we," "us," or "our").
By accessing the website, creating an account, requesting a quote, approving a proof, or placing an order, you agree to these Terms and to our Privacy & Cookie Policy, Returns, Refunds & Shipping Policy, and Customer Artwork, Intellectual Property & Acceptable Use Policy. If you do not agree, do not use the website or place an order.
1. Eligibility and Accounts
You must be at least 18 years old and able to enter a binding contract to place an order. A person under 18 may use the website only with the involvement and authorization of a parent or legal guardian. You agree to provide accurate information and to protect your login credentials. You are responsible for activity conducted through your account.
2. Products and Services
Mic Drop Creative provides custom apparel, print-on-demand merchandise, decoration and production services, product sourcing, online storefronts, fulfillment, creative services, corporate merchandise, fundraising merchandise, gifting, and related services. Product availability, colors, sizing, decoration methods, minimum quantities, pricing, and production schedules may vary.
3. Quotes, Orders, Pricing, and Payment
A quote is an estimate based on the information available when issued and is valid only for the period shown on the quote. Changes to quantities, garments, artwork, decoration locations, shipping, taxes, or timing may change the price.
An order is accepted only after Mic Drop Creative confirms it and receives any required payment, deposit, artwork, information, and approval.
Prices are shown in U.S. dollars unless stated otherwise. Applicable taxes, shipping, rush charges, setup charges, art charges, and other disclosed fees may be added.
Payments made through the website are processed through payment services integrated with DecoNetwork. Mic Drop Creative does not represent that it directly stores your full payment-card number.
You authorize Mic Drop Creative and its payment providers to charge the payment method you submit for the amounts disclosed at checkout or in an accepted quote.
4. Customer Approval and Production Authorization
Your approval is the authorization to produce. Before approving a design, mockup, proof, quote, or online customization, you must check all spelling, punctuation, artwork, colors, placement, dimensions, product style, quantities, and sizes. Once you approve or submit an order through the online designer, Mic Drop Creative may begin purchasing goods and producing the order immediately.
Mic Drop Creative is not responsible for customer-approved errors, including spelling or design errors, low-resolution or poor-quality files, incorrect sizes or quantities, or selections made through the website. Any courtesy review by our team does not transfer approval responsibility to us.
5. Custom Product Variations
Custom decoration is not a machine-perfect process. Reasonable variations are not defects. These may include small differences in print placement, ink coverage, color appearance between screens and finished goods, garment shade, texture, measurements, manufacturer tolerances, and appearance across different sizes or fabric blends. Samples and digital mockups are illustrative and may not exactly match the finished product.
6. Production and Delivery Estimates
Production and delivery dates are estimates unless Mic Drop Creative expressly agrees in writing to a guaranteed date. Timelines begin only after all required payment, information, goods, and approvals are received. Delays caused by customer changes, late approvals, suppliers, carriers, weather, equipment failure, labor disruption, force majeure, or other circumstances outside our reasonable control may extend the timeline. Rush fees purchase priority handling but do not eliminate risks outside our control.
7. Changes and Cancellations
Contact us immediately if you need to change or cancel an order. Because products may be ordered and production may begin promptly after approval, changes and cancellations are not guaranteed. Once blank goods have been specially ordered, artwork prepared, screens or transfers produced, or production begun, amounts paid may be non-refundable. If we approve a change, additional charges and a revised schedule may apply.
8. Returns, Refunds, and Shipping
Custom, decorated, personalized, and print-on-demand products are made for the purchaser and generally cannot be restocked or resold. All sales are final except for a verified manufacturing defect, production error, damage in transit, or incorrect item supplied by Mic Drop Creative, as described in our Returns, Refunds & Shipping Policy. That policy is incorporated into these Terms.
9. Customer Artwork and Intellectual Property
You retain ownership of artwork you own. By uploading, emailing, or otherwise providing content, you give Mic Drop Creative a limited, non-exclusive license to store, reproduce, modify as technically necessary, decorate products with, display in private proofs, and otherwise use that content to quote, produce, fulfill, and support your order. You represent that you own the content or have permission to use it. Additional terms appear in our Customer Artwork, Intellectual Property & Acceptable Use Policy, which is incorporated into these Terms.
10. Portfolio and Promotional Use
Order fulfillment does not automatically grant Mic Drop Creative the right to use a customer's confidential artwork, name, logo, or finished products in public marketing. We may request separate permission to photograph or feature completed work. If you voluntarily tag us, submit a testimonial, enter a promotion, or otherwise expressly authorize public sharing, the scope of that permission will be governed by the accompanying request or consent.
11. Third-Party Services
The website and our services rely on third parties, including DecoNetwork, payment processors, carriers, blank-goods suppliers, analytics providers, communications providers, and other service providers. Their services may be governed by their own terms and privacy policies. We are not responsible for third-party outages or conduct outside our reasonable control, but this does not limit obligations that cannot legally be limited.
12. Prohibited Conduct
Use the website or services for unlawful, fraudulent, abusive, or misleading activity.
Upload content that infringes copyright, trademark, publicity, privacy, or other rights.
Attempt to bypass security, access another person's account, introduce malware, scrape the website, or interfere with its operation.
Use Mic Drop Creative branding or website content without authorization.
Submit content prohibited by our Customer Artwork, Intellectual Property & Acceptable Use Policy.
13. Website Content
The website, its design, copy, graphics, logos, photographs, product presentations, and other content supplied by Mic Drop Creative are owned by or licensed to us and are protected by law. We grant you a limited, revocable, non-transferable right to use the website for its intended purpose. No other license is granted.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT FOR EXPRESS WRITTEN WARRANTIES WE PROVIDE, MIC DROP CREATIVE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIC DROP CREATIVE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY ARISING FROM A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID MIC DROP CREATIVE FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.
16. Indemnification
You agree to defend, indemnify, and hold harmless Mic Drop Creative and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, and reasonable costs arising from your content, your infringement or violation of another person's rights, your unlawful use of the website or services, or your material breach of these Terms.
17. Dispute Resolution; Arbitration; Class-Action Waiver
Please contact us first so we can try to resolve any concern informally. Except for an eligible individual claim in small-claims court or a request for injunctive relief concerning intellectual property or unauthorized system access, any dispute arising from these Terms, the website, or an order will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer or Commercial Arbitration Rules. Arbitration will take place in Travis County, Texas, unless the parties agree otherwise or applicable rules require another location. You and Mic Drop Creative waive trial by jury and participation in a class, collective, consolidated, or representative action. This section is governed by the Federal Arbitration Act. If this class-action waiver is found unenforceable as to a particular claim, that claim must proceed in court rather than arbitration.
18. Governing Law
Texas law governs these Terms without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration section. Court proceedings permitted under these Terms must be brought in the state or federal courts serving Travis County, Texas, and each party consents to their jurisdiction.
19. Changes; Severability; No Waiver
We may update these Terms prospectively by posting a revised version and changing the effective date. Material changes will receive additional notice when required by law. If a provision is unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue. A failure to enforce a provision is not a waiver.
